These Terms of Service ("Terms") govern your access to and use of the Agora platform at askagora.ai (the "Service"), operated by Agora ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms.
IMPORTANT DISPUTE RESOLUTION NOTICE: IF YOU ARE IN THE UNITED STATES OR CANADA, YOU AGREE THAT DISPUTES BETWEEN YOU AND AGORA WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION, EXCEPT AS SET FORTH IN SECTION 21 BELOW.
1. Eligibility
You must be at least 18 years old to use the Service. By creating an account, you represent that you are at least 18 years of age. We may terminate accounts that we reasonably believe are operated by individuals under 18.
2. Account Registration
You must create an account to use the Service. You agree to provide accurate and complete information, keep your login credentials secure, and notify us promptly of any unauthorized access to your account. You are responsible for all activity under your account, including any actions taken by others using your credentials. You may not share your account credentials with others to allow them to access the Service.
3. Description of the Service
Agora is a platform that enables you to explore and interact with various AI models powered by third-party providers, including ChatGPT by OpenAI, Claude by Anthropic, and Gemini by Google. Agora provides access to these third-party AI models but does not create or generate any AI responses. The AI model providers are responsible for the content of their responses.
The Service includes features such as individual AI chats, AI panel discussions with synthesized verdicts, debate rounds, project-based collaboration with AI roles, file upload and analysis, web search integration, and conversation export.
Agora is an independent product and is not affiliated with, endorsed by, sponsored by, or partnered with OpenAI, Anthropic, or Google. ChatGPT is a trademark of OpenAI, Claude is a trademark of Anthropic, and Gemini is a trademark of Google. All third-party trademarks referenced in the Service are the property of their respective owners and are used for identification purposes only. Agora accesses these AI models solely through their publicly available APIs and provides independent features including multi-AI panel discussions, synthesized verdicts, debate rounds, and team-based collaboration that are developed and operated entirely by Agora.
4. Subscription Plans, Credits, and Pricing
Plans
The Service offers the following subscription tiers:
- Free: Limited monthly credits and daily message limits at no cost.
- Lite: Expanded credits and limits for a monthly subscription fee.
- Pro: Full access to all features, premium AI models, and higher limits for a monthly subscription fee.
Pricing and Feature Changes
Current pricing and features are displayed on our website and in Agora. We reserve the right to change pricing, features, credit allocations, and usage limits at any time. We will provide existing subscribers with 30 days' notice before pricing changes take effect. Feature and limit changes may take effect immediately. If you do not wish to accept a change, you may cancel your subscription before it takes effect. Except where prohibited by applicable law (which may include the Province of Quebec), your continued use of the Service after such changes constitutes acceptance.
Credits
- Credits are used to run panel discussions and other premium features.
- Monthly credits are allocated based on your subscription tier and reset on your billing date each month.
- Monthly credits do not roll over. Unused monthly credits expire at the end of each billing cycle.
- Add-on credits purchased separately do not expire and carry over between billing cycles.
- Credits have no cash value and cannot be transferred, sold, purchased from third parties, bartered, or exchanged. Any attempted transfer will be null and void.
- Your access to credits (including any unused credits) will cease upon account termination.
Billing
- Paid subscriptions are billed monthly through Stripe.
- Your subscription automatically renews each month unless cancelled. By subscribing, you authorize recurring charges to your payment method on file.
- You are responsible for keeping your payment details up to date. If your payment method fails, we may suspend your access to paid features.
- You are responsible for any applicable taxes, including sales tax, VAT, GST, or similar taxes payable in connection with your subscription.
5. Cancellation and Refund Policy
Cancellation
- You may cancel your subscription at any time through your account settings.
- Upon cancellation, you retain access to your paid plan features until the end of your current billing period.
- After your billing period ends, your account reverts to the Free plan.
- You must cancel before your next billing date to avoid being charged for the next period.
Refunds
- Subscriptions are non-refundable. We do not provide partial refunds for unused time within a billing period.
- All credits, whether used or unused, are non-refundable.
- If you believe you were charged in error, contact us within 14 days by logging in to your account in Agora, tapping Get Help, and selecting Contact Us.
- We reserve the right to issue refunds, credits, or discounts at our sole discretion. If we do so, we are under no obligation to issue the same or similar refund in the future.

6. Acceptable Use Policy
You agree not to use the Service to:
- Violate any applicable law or regulation.
- Generate, upload, or share content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
- Attempt to generate content that exploits, harms, or endangers minors.
- Generate, promote, or share hateful or violent content, including content that glorifies violence, or engage in harassment, intimidation, or bullying.
- Use the Service to make or assist with decisions that could lead to illegal discrimination, such as determinations about eligibility for housing, financial loans, or employment.
- Infringe on the intellectual property rights of others.
- Attempt to reverse-engineer, decompile, or extract source code from the Service, AI models, or their underlying technologies.
- Interfere with or disrupt the Service, servers, or networks.
- Attempt to gain unauthorized access to any part of the Service or other users' accounts.
- Use the Service to develop competing AI products by systematically extracting AI responses.
- Use automated scripts, bots, or scrapers to access the Service, or use any method to extract data from the Service other than as permitted by these Terms.
- Circumvent usage limits, credit systems, or access controls.
- Impersonate any person or entity.
- Send spam or unsolicited messages through the Service.
- Represent AI-generated content as human-generated.
- Engage in any conduct that attempts to circumvent safety protections within the Service or the AI models powering it.
Your use of AI models through the Service is also subject to the usage policies of the underlying AI providers:

We reserve the right to suspend or terminate your account for violations of these terms, with or without notice.
7. User Content
Ownership
You retain ownership of the content you submit to the Service (your prompts, messages, and uploaded files). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to process your content solely for the purpose of providing the Service, including sending your prompts to third-party AI providers to generate responses.
Agora does not use your content to train any AI models. Under our API agreements with OpenAI, Anthropic, and Google, your prompts and conversations sent through the Service are not used by those providers to train their foundational models.
AI-Generated Content
Responses generated by AI models through the Service are provided "as is." Agora does not create or generate AI responses — we provide access to third-party AI models. AI responses may contain errors, inaccuracies, or outdated information. You should independently verify any AI-generated content before relying on it. Agora does not provide and is not responsible for the content or accuracy of responses from these AI models.
You may use AI-generated responses for personal or commercial purposes, subject to the terms of the underlying AI providers (OpenAI, Anthropic, Google). You are solely responsible for how you use AI-generated content, including ensuring it is accurate, appropriate, and lawful for your intended purpose. We make no representations regarding the ownership, originality, or intellectual property status of AI-generated content.
Other users may submit similar prompts and receive similar or identical responses. Responses received by other users are not considered Your Content.
Uploaded Files
Files you upload are stored for 30 days and then automatically deleted. The AI's analysis of your files is retained in your conversation as text. We are not responsible for the loss of uploaded files after the 30-day retention period.
8. Service Availability and Modifications
We cannot guarantee the availability of any AI models, features, or functionality of the Service. We do not guarantee access to any specific AI model, version, or provider. While we continue to develop and improve the Service, we may, without notice to you, add or remove features, AI models, or functionality, limit use or availability of features (entirely or for certain users), or modify the Service if it creates risk, no longer makes sense from a business perspective, or for any reason at our sole discretion.
We cannot guarantee that your use of the Service will be error-free, uninterrupted, or that you will not experience service outages. We are not liable for any errors, disruptions, or service outages that may occur.
Beta and Experimental Features
We may offer features labeled as beta, experimental, or early access. Such features are provided "as is" and may be modified, limited, or discontinued at any time without notice. Beta features may contain bugs or errors, and your use of them is at your own risk.
9. Third-Party AI Services
The Service relies on third-party AI providers (OpenAI, Anthropic, Google) to generate responses. We do not control these AI models and are not responsible for the content, accuracy, or quality of their responses. These providers may update, modify, or discontinue their models at any time, which may affect the Service. Each provider is subject to its own terms of service and usage policies.
10. Intellectual Property
The Service, including its design, features, code, and branding, is owned by Agora and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our written permission.
All third-party names, logos, and trademarks displayed in the Service (including ChatGPT, Claude, and Gemini) are the property of their respective owners. Their appearance in the Service does not imply any affiliation, endorsement, or sponsorship by those parties.
11. Copyright Infringement (DMCA Policy)
We respect the intellectual property rights of others. If you believe that any content hosted on the Service infringes your copyright, please send a notice to legal@askagora.ai containing: (1) a description of the copyrighted work; (2) the location of the infringing material on the Service; (3) your contact information; and (4) a statement under penalty of perjury that you are authorized to act on behalf of the copyright owner. We will respond to clear notices of alleged infringement and reserve the right to terminate the accounts of repeat infringers.
12. Export Controls and Sanctions
The Service relies on AI model providers subject to export control laws and trade sanctions administered by the United States, Canada, and other jurisdictions. By using the Service, you represent and warrant that you are not located in, or a resident or national of, any country subject to comprehensive trade sanctions (including but not limited to Iran, North Korea, Syria, Cuba, and the Crimea, Donetsk, and Luhansk regions), and that you are not on any restricted party list maintained by applicable authorities. You agree not to access or use the Service in violation of any applicable export control or sanctions laws.
13. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.
14. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT: THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; AI-GENERATED RESPONSES WILL BE ACCURATE, COMPLETE, OR APPROPRIATE; UPLOADED FILES WILL BE RETAINED BEYOND THE STATED RETENTION PERIOD; ANY DEFECTS WILL BE CORRECTED; OR ANY PARTICULAR AI MODELS, BOTS, OR FEATURES WILL REMAIN AVAILABLE.
YOU AGREE NOT TO USE THE SERVICE FOR MEDICAL, LEGAL, FINANCIAL, EMPLOYMENT, HOUSING, CREDIT, OR OTHER HIGH-RISK DECISIONS. AI MODELS ACCESSED THROUGH THE SERVICE SHOULD NOT BE RELIED UPON DURING EMERGENCIES. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING THE ACCURACY AND APPROPRIATENESS OF ANY AI-GENERATED CONTENT BEFORE RELYING ON IT.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGORA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
WITHOUT LIMITING THE FOREGOING, AGORA SHALL NOT BE LIABLE FOR: THE CONTENT, ACCURACY, OR QUALITY OF AI-GENERATED RESPONSES; ACTIONS TAKEN OR DECISIONS MADE BASED ON AI-GENERATED CONTENT; FAILURES, OUTAGES, OR CHANGES TO THIRD-PARTY AI SERVICES; LOSS OF OR INABILITY TO ACCESS USER CONTENT OR UPLOADED FILES; OR UNAUTHORIZED ACCESS TO YOUR ACCOUNT OR DATA RESULTING FROM CIRCUMSTANCES BEYOND OUR REASONABLE CONTROL.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 CAD, WHICHEVER IS GREATER.
16. Indemnification
You agree to indemnify and hold harmless Agora, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, your violation of any third-party AI provider's usage policies, or your violation of any rights of another party.
17. Inactive Accounts
We reserve the right to terminate accounts that have been inactive for over one year and do not have an active paid subscription. If we terminate your account due to inactivity, we will provide you with notice via email before doing so. Data associated with terminated inactive accounts will be deleted in accordance with our Privacy Policy.
18. Termination
We may suspend or terminate your account at any time for any reason, including violation of these Terms, violation of third-party AI provider policies, non-payment, or if your use of the Service creates risk or negatively impacts other users. Upon termination, your right to use the Service ceases immediately, including access to any unused credits. Provisions that by their nature should survive termination (including disclaimers, limitations of liability, indemnification, and the arbitration clause) will survive.
You may delete your account at any time through your account settings. Account deletion is permanent and irreversible.
19. Force Majeure
We are not liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, natural disasters, government actions, internet or infrastructure disruptions, labor disputes, third-party service failures (including AI model provider outages), cyberattacks, or changes in applicable law or regulation.
20. No Agency or Partnership
Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Agora. Agora is not an agent or representative of any third-party AI model provider, and no third-party AI provider is an agent or representative of Agora.
21. Dispute Resolution and Arbitration
Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Informal Resolution
Before initiating formal proceedings, you agree to contact us at support@askagora.ai and attempt to resolve the dispute informally for at least thirty (30) days.
Binding Arbitration
Where permitted by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration rather than in court, except that either party may bring an individual claim in small claims court if eligible.
Arbitration shall be conducted in Ontario, Canada, by a recognized arbitration provider under its applicable rules. If you reside outside Canada or the United States, arbitration may be conducted remotely or in another mutually agreed location.
The arbitrator's decision shall be final and binding.
Each party shall bear its own legal fees and costs unless otherwise required by applicable law or arbitration rules.
Class Action Waiver
YOU AND AGORA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
Consumer Rights
Nothing in this section limits any rights that cannot be waived under applicable consumer protection laws.
Opt-Out
You may opt out of this arbitration agreement by sending written notice to support@askagora.ai within thirty (30) days of creating your account. If you opt out, disputes shall be resolved in the courts of Ontario, Canada.
Severability of This Section
If any portion of this section is found unenforceable, the remainder shall remain in full force and effect.
22. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
23. Entire Agreement
These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Agora regarding the Service. We may modify these Terms at any time. We will provide at least 30 days' notice for material changes, communicated through the Service or via email. Except where prohibited by applicable law (which may include the Province of Quebec), your continued use of the Service after such notice constitutes acceptance of the updated Terms. If you do not agree to the changes, your only remedy is to cease use of and cancel your account.
